Terms of Service
These terms govern access to sipnscale.com. Event registration, attendance, partnerships, and local chapter activities may also be subject to separate terms presented at the relevant time.
About these terms
Sip & Scale is a nonprofit global community. In these terms, “Sip & Scale,” “we,” “us,” and “our” refer to the operator of sipnscale.com. “Website” means sipnscale.com and the pages and features we control on it.
These terms apply to the Website only. A separately organized event, ticket, venue, local chapter, sponsor benefit, promotion, or third-party platform may have additional rules. If specific written terms conflict with these terms for that activity, the specific terms control for that activity.
Acceptance and eligibility
By accessing or using the Website, you agree to these terms. If you do not agree, do not use the Website. If you use the Website for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
You must be at least 13 to use the Website. If you are below the age of legal majority where you live, you must have permission from a parent or legal guardian. Individual events may impose a higher minimum age.
Permitted use
You may use the Website for lawful informational purposes and to contact or engage with Sip & Scale. You must not:
- Violate applicable law, another person's rights, or an obligation you owe to someone else.
- Attempt unauthorized access, probe security, bypass access controls, introduce malware, or disrupt the Website or its infrastructure.
- Use automated means to scrape, harvest, or extract content or personal information at a volume or in a manner that burdens the Website or violates law.
- Impersonate another person, misrepresent an affiliation, submit false or misleading information, or use the Website for spam, fraud, harassment, or abuse.
- Copy, frame, mirror, reverse engineer, use content to train models, or commercially exploit the Website or its content except where law permits or we give written permission.
Events and registrations
Website event listings are invitations to learn more, not guarantees of admission, availability, speakers, venue, timing, price, or format. Details may change, and an event may be postponed or cancelled. Check the applicable registration page for current information.
Registration and payment may be handled by Luma or another third party. That provider's terms, privacy notice, cancellation policy, and refund rules apply to its service. Unless Sip & Scale expressly states otherwise for a specific event, the registration provider or named event organizer handles ticketing and refund questions.
Attendance may be subject to venue rules, safety requirements, a code of conduct, eligibility criteria, and separate media notices or releases. Nothing in these Website terms alone gives us permission to use an attendee's likeness beyond what applicable law permits; event-specific notice or consent will be provided where required.
Community conduct
When interacting with Sip & Scale or other community members through the Website or a related activity, you must:
- Treat others respectfully and avoid harassment, discrimination, threats, intimidation, or unsafe conduct.
- Respect confidentiality, privacy, venue rules, and another person's decision not to be photographed or contacted where applicable.
- Avoid unauthorized solicitation, deceptive promotion, and conduct that materially disrupts an event or community activity.
- Follow reasonable instructions from authorized organizers relating to safety, access, and community standards.
Submissions
You retain ownership of material you submit through the Website. You give Sip & Scale a limited, non-exclusive, worldwide, royalty-free license to host, copy, transmit, review, and use that material only as reasonably necessary to operate the Website, respond to your request, evaluate an opportunity, comply with law, and administer a resulting relationship.
You confirm that you have the rights and permissions needed to submit the material and that our permitted use will not violate law or another person's rights. Do not submit sensitive, confidential, proprietary, or regulated information unless we have expressly agreed in writing to receive it securely and confidentially.
Unsolicited ideas or proposals are not treated as confidential and do not create a fiduciary, employment, partnership, or compensation obligation. This does not limit confidentiality obligations we separately accept in writing.
Intellectual property
The Website and its content—including the Sip & Scale name and branding, design, text, graphics, photos, video, and software—are owned by Sip & Scale, its licensors, or the credited creators and are protected by intellectual-property and other laws.
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for the permitted purposes in these terms. No other right or license is granted. Third-party names and marks belong to their respective owners and do not imply endorsement unless expressly stated.
Third-party services and links
The Website links to third-party event, ticketing, maps, social-media, partner, sponsor, venue, and other services. Links are provided for convenience and do not make Sip & Scale responsible for the third party or its content, availability, security, products, promises, or practices.
Your use of a third-party service is governed by that party's terms and policies. Review them before providing information or making a payment.
Privacy
Our Privacy Policy explains how we collect and use personal information through the Website and is incorporated into these terms by reference. It is a notice, not a waiver of your privacy rights or a substitute for consent where consent is legally required.
Disclaimer
The Website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim express and implied warranties, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free access, event outcomes, introductions, business opportunities, funding, employment, or the conduct of community members or third parties.
Website content is general information, not legal, financial, investment, medical, tax, employment, or other professional advice. You are responsible for your own decisions, due diligence, communications, travel, property, health, and safety.
Limitation of liability
To the fullest extent permitted by law, Sip & Scale and its team members, volunteers, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business, or opportunities arising from the Website or a linked third-party service, even if advised that such loss was possible.
To the fullest extent permitted by law, our aggregate liability for claims arising from the free Website will not exceed the greater of the amount you paid us specifically for use of the Website during the 12 months before the claim or US$100. These limits do not exclude liability for fraud, willful misconduct, death or personal injury caused by negligence, or any liability or mandatory consumer right that law does not allow us to limit.
Responsibility for misuse
If you use the Website on behalf of an organization, that organization will, to the extent permitted by law, be responsible for third-party claims and reasonable costs resulting from its unlawful use of the Website, its material breach of these terms, or material it submits in violation of another person's rights. This section does not apply to an individual consumer where such an obligation is prohibited or unfair under applicable law.
Suspension and changes
We may suspend or restrict access when reasonably necessary for security, maintenance, legal compliance, investigation of misuse, or protection of Sip & Scale or others. We may change or discontinue Website features without guaranteeing continued availability.
We may update these terms. The revised terms apply from the effective date shown after they are posted. If a change is material, we will provide additional notice where required. Continued use after the effective date means you accept the revised terms, except where law requires another form of agreement.
Applicable law and disputes
Mandatory consumer protections and laws that apply to you remain unaffected. Subject to those protections, applicable law and the courts with lawful jurisdiction over Sip & Scale and the dispute will govern these terms and any claim relating to the Website.
Before filing a formal claim, please contact us with a description of the issue and requested resolution so the parties can attempt a good-faith informal resolution. This does not prevent either party from seeking urgent relief or using a regulator, small-claims process, or other remedy that cannot lawfully be restricted.
General terms
These terms, the Privacy Policy, and any applicable specific written terms form the entire agreement about use of the Website and replace earlier discussions about that subject.
If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Section headings are for convenience only.
You may not transfer these terms without our written consent. We may transfer them as part of a reorganization or transfer of the Website, subject to applicable law and continued protection of your rights.
